1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CDL Roads ("Company," "we," "us," or "our"), governing your access to and use of the CDL Roads website, platform, and ELDT (Entry-Level Driver Training) courses (collectively, the "Services").
By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree to these Terms, you may not access or use the Services.
PLEASE READ THESE TERMS CAREFULLY, INCLUDING THE BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 12.
2. Parties to This Agreement
This Agreement is entered into by and between:
- Company: CDL Roads, located at 1055 S 6th St, San Jose, CA 95112
- User: The individual who creates an account and agrees to these Terms, as identified by the full legal name and email address provided during registration
By using the Services, you represent that you are at least 18 years of age and have the legal capacity to enter into this binding agreement. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Description of Services (Scope)
In Scope - What We Provide:
- Online ELDT Theory training courses for CDL (Commercial Driver's License) preparation
- Video lessons and educational content
- Practice tests and quizzes
- Final examinations
- Automatic TPR (Training Provider Registry) submission to FMCSA upon course completion
- Digital certificates of completion
- Lifetime access to purchased course materials
Out of Scope - What We Do NOT Provide:
- Behind-the-wheel training or practical driving instruction
- CDL skills test preparation (range test)
- Guaranteed passing of any state DMV examination
- Physical CDL documentation or licensing
- Medical examination or DOT physical services
- Employment placement or job guarantees
- Legal advice regarding CDL requirements or regulations
Deliverables and Timelines: Upon successful completion of a course (passing the final exam with a score of 80% or higher), we will submit your training record to the FMCSA TPR within 2 business days. Course access is immediate upon payment confirmation.
Identity Attestation: Before taking any final exam you must provide your legal name, date of birth, driver's license / CLP / CDL number, license state, and a photo of that credential. By accepting these Terms you certify that this information is and will remain entered exactly as it appears on your credential. You acknowledge that mismatched information may prevent your state from verifying your ELDT completion and delay your CDL testing, and that it is your responsibility to keep this information accurate. You may review and correct your information at any time from your profile.
TPR Submission Authorization: By accepting these Terms you authorize CDL Roads to submit your ELDT theory completion record and final exam score to the Federal Motor Carrier Safety Administration's Training Provider Registry (TPR) for verification by state driver licensing agencies (SDLAs). Only registered training providers may submit ELDT records to the TPR; states subsequently verify these records before allowing you to take the CDL knowledge or skills test. If you later correct your identity information, you authorize us to resubmit an updated record to the TPR on your behalf.
4. Account Registration and Payment Terms
Account Registration: You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
Payment: Course fees are due at the time of purchase. We accept payment via credit card, debit card, and other methods made available through our payment processor (Stripe). All prices are in US Dollars.
Late Payment: For any payment plans or invoiced amounts, payments not received within 15 days of the due date will incur a late fee of 1.5% per month (18% annually) on the outstanding balance.
Failed Payments: If a payment fails, your access to paid Services may be suspended until payment is successfully processed.
5. Refund and Cancellation Policy
Our complete refund policy is available at /refunds. Key points:
- 7-Day Refund Window: You may request a full refund within 7 days of purchase if you have not completed more than 25% of the course content
- No Refunds After Completion: Once you have completed the course or passed the final exam, no refunds will be issued
- No Refunds After TPR Submission: Once your training record has been submitted to the FMCSA TPR, no refunds will be issued
- 30-Day Cancellation Notice: For any subscription-based services (if applicable), cancellation requires 30 days written notice
ALL SALES ARE FINAL EXCEPT AS EXPRESSLY PROVIDED IN THIS SECTION AND OUR REFUND POLICY.
6. Intellectual Property and Ownership
Company Ownership: CDL Roads owns and retains all rights, title, and interest in and to the Services, including but not limited to:
- The CDL Roads platform, website, and software
- All course content, videos, images, text, and educational materials
- Trademarks, logos, and branding
- All underlying technology, algorithms, and code
License Grant to User: Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial educational purposes only.
Restrictions: You may NOT:
- Copy, reproduce, distribute, or publicly display any content from the Services
- Modify, create derivative works from, or reverse engineer any part of the Services
- Share your account or login credentials with others
- Use the Services for any commercial purpose or to train others
- Remove any copyright, trademark, or proprietary notices
Portfolio Rights: We reserve the right to use anonymized, aggregated data and general descriptions of our Services for marketing, portfolio, and promotional purposes.
7. User Conduct and Responsibilities
You agree to:
- Provide accurate information and keep your account information current
- Complete coursework honestly without cheating, plagiarism, or fraud
- Not share your account access with others
- Not attempt to circumvent any security measures or access controls
- Not use the Services for any unlawful purpose
- Comply with all applicable laws and regulations
Violation of these terms may result in immediate termination of your account and forfeiture of any paid fees.
8. Termination
Termination by User: You may terminate your account at any time by contacting us at flores_sj@yahoo.com. Termination does not entitle you to a refund except as provided in Section 5.
Termination by Company: We may suspend or terminate your access to the Services immediately, without prior notice, if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Fail to pay applicable fees
- Abuse or misuse the Services
Effect of Termination: Upon termination:
- Your license to use the Services immediately terminates
- You lose access to all course materials and account data
- Any completed TPR submissions remain on record with FMCSA
- Sections 6, 9, 10, 11, 12, 13, and 14 survive termination
9. Disclaimers and Limitation of Liability
Disclaimer of Warranties: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Educational Disclaimer: Completion of our courses does not guarantee that you will pass any CDL examination, obtain a CDL, or meet all requirements for commercial driving. CDL requirements vary by state and are subject to change.
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, CDL ROADS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Damages Cap (Not to Exceed): IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless CDL Roads, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit or transmit through the Services.
11. Confidentiality
Our Commitment: We will keep your personal information confidential in accordance with our Privacy Policy. We do not sell your personal information to third parties.
Your Commitment: You agree to keep confidential any proprietary information, course materials, or trade secrets you may access through the Services.
12. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or your relationship with CDL Roads, including the validity, interpretation, breach, or termination thereof, shall be resolved exclusively through binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) under its Streamlined Arbitration Rules and Procedures.
Waiver of Jury Trial: BY AGREEING TO THESE TERMS, YOU ARE WAIVING YOUR RIGHT TO A TRIAL BY JURY. You understand that you are giving up the right to have your claims decided by a judge or jury.
Class Action Waiver: YOU AND CDL ROADS AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Exclusive Venue and Jurisdiction: The arbitration shall take place in Santa Clara County, California. You agree that Santa Clara County, California shall be the exclusive venue and jurisdiction for any arbitration or, if arbitration does not apply, any litigation arising from these Terms.
Pre-Arbitration Dispute Resolution: Before initiating arbitration, you agree to first contact us at flores_sj@yahoo.com and attempt to resolve the dispute informally for at least 30 days.
Attorney Review: You acknowledge that you have had the opportunity to consult with an attorney before agreeing to these Terms and this arbitration provision.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
14. Force Majeure
Neither party shall be liable for any failure or delay in performing their obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics or pandemics, strikes, power outages, internet service provider failures, or government actions. If a force majeure event continues for more than 60 days, either party may terminate these Terms without liability.
15. General Provisions
Entire Agreement (Merger Clause): These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and CDL Roads regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
Modifications: We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
